Dear Richard,

We have not met.  I hope you can except my comments as constructive.

I say that as one who knows what has gone on at LTPC before your time =
and most of the last couple of years as well, the upside of your crusade =
is not very good and the downside in terms of potentially messing with =
peoples renewals is not a good bargain. =20

Progeny/Cendant did not know what they were going to do with the =
company, sell it, keep it, close it??  It's very small potatoes to them. =
 The people in charge of LTPC may not have been competent in the roles =
they were in, but they were not malicious in their intent.  They kept =
recruiting and hiring because that was their task at hand. =20

No one hated to see a great company, the fastest growing captive shop in =
the industry, go to pieces more than I did.  But it did.

In the unlikely event that you win a suit, it will take many years and =
the end result will be a few hundred dollars in peoples pockets.  This =
is not Big Tobacco settlements you're after.  I know the contracts well, =
some of the earlier versions I had a hand in writing, and you have very =
little grounds to stand on. =20

If people move on and get involved with a good outfit they will be =
better off than staying pissed off.  I understand your anger and angst.  =
You are, however, better served by getting a dartboard with Henry =
Silverman's picture on it than sending out these never ending emails.

  Could not sleep so did some work. This took about an hour.  Found this =
document called Insurance  Digest, about insurance laws in the U.S.  =
About what an agents obligation is and responsibilities are and how they =
can be liable for their actions to client.  I am sending it as an =
attachment.  It is a long document.  But to save time just certain areas =
to look at.

  Did LTPC put it's agents in a bad position after they notified us of =
our termination?  We were still selling, possibly misrepresenting =
ourselves and our company to the applicant.  We misrepresented =
ourselves, our service that we promised and knew we could not deliver on =
theses appointments the last two or three months.  We could not even =
deliver the policies that we sold and promised we would.  How many of us =
told the client the last 60 or 90 days, oh by the way my company is =
closing, I will not be your agent, I will not deliver your policy, I =
will not be giving you the service as promised by me, my company, or =
your affinity group.

  Did LTPC knowingly put it's agents in the field to misrepresent the =
company to applicants?  How many might have sold a policy to a couple =
and one was declined.  Unless that agent goes back into the house and =
resells it they might not keep the policy and now lose valuable coverage =
on the healthy spouse.  If this policy is mailed to them and they do not =
accept it who is really at risk?  Is that client being taken care of =
professionally?  If no agent is there and they do not accept coverage =
and that healthy spouse gets a long term illness and they do not have =
coverage who is at fault?  Did we act in a professional manor?  Where =
was our integrity selling the last 90 days, where was the companies?
  Did the company ask us to disclose to clients the past 90 days that we =
will not be giving them the service as promised?

  These are just some thoughts.  I could not sleep and it took about an =
hour.  Now I am tired and I need my rest.  Going to bed.
